1.Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and OCIDM Inc. (“OCIDM,” “we,” “our,” or “us”) governing your access to and use of Arivio (arivio.io) and all related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
2.Eligibility
You must be at least 18 years of age to use Arivio. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into this agreement.
3.Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
One account per individual or organization. Creating multiple accounts to circumvent restrictions is prohibited.
4.Permitted Use
Arivio is designed for lawful professional networking, booking management, digital business card distribution, event organization, and related commercial activities. You agree to use the Platform only for its intended purposes and in compliance with applicable law.
5.Prohibited Conduct
You agree not to:
- Use the Platform for spam, unsolicited commercial communications, or harassment
- Transmit unlawful, defamatory, obscene, or otherwise objectionable content
- Impersonate any person or entity
- Scrape, harvest, or collect data from the Platform without authorization
- Attempt to gain unauthorized access to any part of the Platform or its systems
- Embed the Arivio widget on websites containing adult content, hate speech, gambling services, or illegal content
- Use the Platform in violation of any applicable law or regulation
- Interfere with the security or integrity of the Platform
6.Intellectual Property
OCIDM retains all right, title, and interest in and to the Platform, including all software, AI models, designs, trademarks, and content created by OCIDM.
You retain ownership of your data, connections, and content that you create through the Platform. You grant OCIDM a limited license to use your content solely to provide and improve the Platform.
7.Subscriptions and Billing
7.1Plans and Pricing
Arivio offers the following subscription plans:
- Free — No charge
- Pro — USD $19.99/month or USD $199.99/year
- Pro AI — USD $99.00/month or USD $990.00/year
- Business — CAD $299.00/month or CAD $2,990.00/year
- Team — CAD $49.00/seat/month or CAD $490.00/seat/year (minimum 2 seats)
7.2Billing
Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe Inc. All sales are final except as stated in Section 7.4.
7.3Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds.
7.4Pro AI Money-Back Guarantee
First-time Pro AI subscribers may request a full refund within 90 days of their initial subscription date. This guarantee applies once per customer and does not apply to renewals or plan upgrades.
7.5Price Changes
We reserve the right to modify subscription pricing with 30 days' written notice. Continued use following notice constitutes acceptance of revised pricing.
8.Widget Terms
Eligible subscribers may embed the Arivio widget on external websites subject to these Terms.
The widget may not be deployed on websites containing adult content, hate speech, illegal content, gambling services, or content that violates applicable law.
Business tier subscribers may restrict widget deployment to approved domains through the domain allowlist feature.
9.Events and Ticketing
When using Arivio's event ticketing features, you are the event organizer and are solely responsible for delivering the event as described.
Arivio charges a platform fee on ticket sales. Payouts are processed through Stripe Connect subject to Stripe's terms and conditions.
Refund policies for ticket purchases are determined by the event organizer. OCIDM is not responsible for event cancellations or failure to deliver promised experiences.
10.Termination and Suspension
OCIDM reserves the right to suspend or terminate your account at our discretion for violation of these Terms, with or without notice depending on the severity of the violation.
You may terminate your account at any time through your account settings. Termination does not entitle you to a refund of prepaid fees except as provided in Section 7.4.
11.Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. OCIDM does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
12.Limitation of Liability
To the maximum extent permitted by applicable law, OCIDM shall not be liable for any indirect, incidental, special, consequential, or punitive damages. OCIDM's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to OCIDM in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00).
13.Indemnification
You agree to indemnify, defend, and hold harmless OCIDM and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
14.Third-Party Services
The Platform integrates with third-party services including Stripe, Google, Anthropic, and others. Your use of such services is subject to their respective terms and privacy policies. OCIDM is not responsible for the acts or omissions of third-party service providers.
15.Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by email or platform notification at least 30 days prior to taking effect. Continued use of the Platform following notice constitutes acceptance of the modified Terms.
16.Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts of Hamilton, Ontario, Canada. You irrevocably consent to the jurisdiction of such courts.
17.Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18.Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OCIDM regarding the Platform and supersede all prior agreements and understandings.
